AskPortco Terms of Service

Draft for review. Not legal advice. First draft for Preston's review, and for a lawyer's review before the first paid contract. Bracketed items are placeholders to fill in. Open decision: whether AskPortco is presented as operated by EE Solutions. Update the "Who we are" section once that's decided.

Effective date: [EFFECTIVE DATE]

1. Who we are

AskPortco ("we", "us") is operated by [LEGAL ENTITY NAME], [MAILING ADDRESS]. Contact: [CONTACT EMAIL].

These terms apply to askportco.com, the AskPortco connector (the MCP server at mcp.askportco.com), the chat on report pages, and questions answered by email (together, the "Service").

2. What the free Service is

  • Portfolio Scorecard: a private report page that scores a private equity firm's portfolio companies. It uses only publicly available information, such as website performance data, public DNS and security settings, detected website technology, public web archives and public job postings.
  • Portfolio Connector: a read-only connector that lets you ask questions about your scorecard data from AI assistants such as Claude or ChatGPT.
  • Report-page chat and email Q&A: the same questions, answered on your report page (with a monthly question limit) or by email to ask@askportco.com. Email answers may be reviewed by a person before they're sent.

The free Service does not require, and does not use, any access to your portfolio companies' systems.

3. Paid services

Paid services include the Portfolio Intelligence Hub, the Company Deep-Dive, the Quick-Win Sprint and custom work. They are governed by a separate order form or statement of work. If that document conflicts with these terms, it takes priority for that paid service.

4. Your account and access

  • Access to a report, the connector or the chat is tied to your firm through a private link or access token. Keep them confidential, and use them only for your firm's internal business purposes.
  • We may suspend or revoke a link or token at any time, for example if it appears to be shared outside your firm, misused, or compromised. You can ask us to revoke yours at any time (see the Connector Data Policy).

5. Acceptable use

You agree not to:

  • Try to access another firm's data, or get around access controls, question limits or rate limits.
  • Reverse engineer, scrape or bulk-export the Service, or use it to build a competing product.
  • Use the Service to harass, defraud or attack any company named in it, including by exploiting any security finding.
  • Submit unlawful content, or other people's confidential data that you don't have the right to share.

6. Not advice

The Service is informational. It is not investment, financial, legal, tax, accounting or security advice, and is not a security audit or penetration test.

Statements about how a finding may matter in a sale or exit are general and qualitative. They are not valuations, and we don't predict effects on value or multiples. Make decisions with your own advisers.

7. Accuracy of outside-in data

Scores and findings are based on public information collected from outside the company. That information can be incomplete, out of date or wrong. For example, a detected technology or a traffic estimate may be inaccurate, and companies may have internal controls that aren't publicly visible.

Scores carry an "as of" date, and we flag missing data rather than guessing. Still, the Service is provided "as is". Check important findings with the company before acting on them.

8. Intellectual property

  • Ours: the Service, the scoring rubric and methodology, findings text, scores, report designs and software belong to us or our licensors. You may use reports and answers internally, and share them with your portfolio companies and advisers.
  • Yours: questions you ask and information you send us remain yours. You let us use them to provide and improve the Service, and to follow up with you about it, as described in our Privacy Policy.
  • Feedback: if you suggest improvements, we may use them without obligation.

9. Third-party services

The connector runs inside AI assistants and services we don't control, such as Claude, ChatGPT and Microsoft Copilot. Your use of them is governed by their terms. Their availability and features may change.

10. Limitation of liability

To the extent the law allows:

  • We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities.
  • Our total liability for the free Service is limited to $100. Liability for paid services is set in the applicable order form or statement of work.

[LAWYER REVIEW: cap amount, carve-outs, and indemnities.]

11. Termination

You can stop using the Service at any time. We can suspend or end free access at any time, with or without notice. The sections on intellectual property, not advice, accuracy, limitation of liability and governing law continue after termination.

12. Changes

We may update these terms. If changes are material, we will update the effective date and, where practical, notify active users by email. Continued use after a change means you accept it.

13. Governing law

These terms are governed by the laws of [GOVERNING-LAW STATE], without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in [GOVERNING-LAW STATE / COUNTY].

14. Contact
